JEFF COOPER C.A.R.E. FOUNDATION BYLAWS
ARTICLE I - NAME
Section 1: The name of this non-profit organization shall be the Jeff Cooper C.A.R.E. Foundation.
ARTICLE II – LOCATION
Section 1: The principal location and address of the foundation shall be 2305 Aquetong Road New Hope, PA 18938
ARTICLE III – PURPOSE
Section 1: The purpose of the Jeff Cooper C.A.R.E. Foundation is dedicated to Cardiac Awareness, Research, and Education primarily in young adults aged 18-35 who are greatly affected by this “silent killer” and are largely unaware of its symptoms and affects. In light of the unexpected passing of Jeff Cooper, family and friends are collaborating to help in the prevention of heart disease and its damaging affects. The Jeff Cooper C.A.R.E. Foundation will exist as an organization whose clear cut objectives include:
Objectives:
This foundation will serve as a vibrant and living legacy to Jeff’s life, embodying a distinct set of values and goals.
Raise funding that will assist in promoting awareness, research, and education of America’s number one cause of death, heart disease.
Cooperate with educational institutions, hospitals, and any other organization that can help us convey our message to increase awareness and diagnosis of the symptoms of heart disease.
Increase prevention of heart disease through collaboration with appropriate parties to make heart screening a standard practice in preventative health and routine physicals.
Work to increase the accessibility of diagnostic testing for all young adults, including those for whom the cost is prohibitive.
Increase funding to change fundamental healthcare options regarding heart disease.
Increase amount of research conducted for heart disease specifically with the 18-35 year old age group.
Change the bar of care to have a more preventative, rather than reactive, focus.
Provide scholarships to students who share Jeff’s educational path and/or personality traits.
ARTICLE IV – MEMBERSHIP
Section 1: Regular Members: Regular voting membership shall be open to Geraldine Cooper, Richard Cooper, Scott Cooper, David Cooper, Jason F. Weidner, Kelly C.L. Weidner, Deanna L. Albanese, Ryan Tyrell, Brandon Peoples, Michelle Peoples and Gerard M. Brett.
Section 2: Associate Members: Associate membership shall be open to any public agency, voluntary organizations, and independent health professionals employed or interested in the prevention, awareness, research, and education of cardiac health in people aged 18-35. Associate members may serve on committees and attend all meetings but are not eligible to serve as officers of the foundation or to vote. Associate membership shall be granted upon approval of the regular members.
ARTICLE V – ORGANIZATION
Section 1: Board of Directors: The Jeff Cooper C.A.R.E. Foundation shall be administered by a five member Board of Directors appointed by the Jeff Cooper C.A.R.E. Foundation President.
Section 2: Offices of the Board of Directors: Offices of the Board of Trustees shall consist of:
Foundation President – Geraldine Cooper
Foundation Vice President – Jason F. Weidner
Secretary and Treasurer – Kelly C.L. Weidner
Vice President of Fundraising — Deanna L. Albanese
Vice President of Marketing – Gerard M. Brett
Section 3: Committees:
Committees shall be formed and maintained as needed. The Board of Directors may solicit assistance from Associate Members or other volunteers for participation on committees.
ARTICLE VI – MEETINGS
Section 1: Frequency and Purpose: The Jeff Cooper C.A.R.E. Foundation Board of Directors shall meet as necessary to conduct business of the Foundation. One mandatory meeting shall be held at the time of the Jeff Cooper C.A.R.E. Foundation Annual Meeting. Two specific purposes of that meeting shall be (1) to assess results of expenditures of funds for the current annual program and (2) to propose a budget of Jeff Cooper C.A.R.E. Foundation funds for use by the Jeff Cooper C.A.R.E. Foundation Program Committees during the next year.
ARTICLE VII - USE OF FUNDS
Section 1: The Jeff Cooper C.A.R.E. Foundation shall prudently invest unrestricted contributions made to it and shall use these monies to support activities of the Jeff Cooper C.A.R.E. Foundation.
Section 2: The Board of Directors shall authorize, out of the income of the Jeff Cooper C.A.R.E. Foundation, the payment of such incidental expenses as may become necessary. No member of the Board of Directors shall receive any salary for his or her services.
ARTICLE VII - PATRON MEMBERS AND DONORS
Section 1: Patron Members and Donors
A. Patrons shall be those firms or organizations that contribute at least $100 to the Jeff Cooper C.A.R.E. Foundation.
B. Donors shall be those individuals that contribute at least $25 to the Jeff Cooper C.A.R.E. Foundation.
C. Patrons and Donors shall be recognized annually in the year donations are made and in the manner determined by the Board of Directors of the Jeff Cooper C.A.R.E. Foundation.
Section 2: Amendment of Bylaws: These Bylaws may be amended by two-thirds vote of the Jeff Cooper C.A.R.E. Foundation members present and voting at the Annual Business Meeting of the Jeff Cooper C.A.R.E. Foundation, provided written notice has been sent in writing to all Foundation members at least two weeks prior to the annual meeting.
Section 3: Dissolution or Liquidation: In the event of dissolution or liquidation of this Foundation by vote as provided in Article VIII, the assets belonging thereto shall be assigned and turned over to any charitable or not-for-profit organization chosen by the Board of Directors of the Jeff Cooper C.A.R.E. Foundation, Partners, Affiliates & Sponsors
